The Site is owned and operated by TensorPros LLC, a limited liability company organized and existing under the laws of the State of Wyoming ("TensorPros," "we," "us," or "our").

(a) Ownership

The Site and its entire Contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, arrangement, concepts, ideas, methods, procedures, processes, know-how, techniques, programs, publications, models, templates, technologies, and artwork) are owned by TensorPros, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

(b) Trademarks

The "TensorPros" name, the TensorPros logo, and all related names, logos, product and service names, designs, and slogans are trademarks of TensorPros LLC or its affiliates or licensors. You must not use such marks without the prior written permission of TensorPros LLC. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners. Use of any trademarks requires express prior permission from, and potentially a license agreement with, TensorPros or the relevant owner. Unauthorized use is strictly prohibited and will be prosecuted to the fullest extent of the law.

(c) Limited License

Subject to your compliance with these Terms, TensorPros grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site, and to download, display, and print one copy of the Content on any single computer solely for your personal, non-commercial use, provided that you: (i) do not modify the Content in any way; (ii) retain all copyright, trademark, and other proprietary notices intact; and (iii) do not use the Content in a manner that suggests an association with, or endorsement by, TensorPros where none exists.

4. Prohibited Uses

• (f) To publish, post, upload, distribute, or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful topic, name, material, or information.
• (g) To upload files that contain software or other material protected by intellectual property laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consents.
• (h) To upload files that contain viruses, corrupted files, or any other similar malicious software, code, or programs that may damage the operation of the Site or another's computer.
• (i) To gain unauthorized access to, interfere with, damage, disrupt, reverse engineer, decompile, or disassemble any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.

TensorPros reserves the right to terminate or deny access to the Site to anyone engaging in prohibited uses, or for any other reason, in its sole discretion, without notice.

5. User Submissions and Unsolicited Ideas

(a) General Submissions

The Site may provide opportunities for you to submit information, comments, or other content ("User Submissions"). Except as otherwise provided in our Privacy Statement or a separate written agreement, any User Submission you provide shall be deemed non-confidential and non-proprietary. By providing any User Submission, you grant TensorPros and its affiliates and service providers, and each of their respective licensees, successors, and assigns a worldwide, perpetual, royalty-free, irrevocable, non-exclusive, fully sublicensable right and license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose. You represent and warrant that you own or control all rights in and to the User Submissions and have the right to grant the license granted above, and that all of your User Submissions do and will comply with these Terms.

(b) Unsolicited Idea Submission Policy

TensorPros does not accept or consider unsolicited ideas, including ideas for new advertising campaigns, new promotions, new products or technologies, processes, materials, marketing plans, or new product names, outside of established business relationships. Please do not submit any unsolicited ideas, original creative artwork, samples, demos, or other works. The sole purpose of this policy is to avoid potential misunderstandings or disputes when TensorPros's products, services, or marketing strategies might seem similar to ideas submitted to us. If, despite our request, you still submit your ideas, then regardless of what your correspondence says, the following terms shall apply to your submissions: You agree that (1) your submissions and their contents will automatically become the property of TensorPros, without any compensation to you; (2) TensorPros may use or redistribute the submissions and their contents for any purpose and in any way; (3) there is no obligation for TensorPros to review the submission; and (4) there is no obligation to keep any submissions confidential.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE TOTAL AGGREGATE LIABILITY OF THE TENSORPROS PARTIES TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNT, IF ANY, PAID BY YOU TO TENSORPROS FOR USE OF THE SITE, OR (II) ONE HUNDRED U.S. DOLLARS ($100.00).

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless TensorPros LLC, its affiliates, licensors, and service providers, and its and their respective members, managers, officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, your User Submissions, any use of the Site's Content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Site.

11. Governing Law and Jurisdiction

All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Wyoming without giving effect to any choice or conflict of law provision or rule (whether of the State of Wyoming or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States located in the State of Wyoming or the courts of the State of Wyoming, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You specifically acknowledge TensorPros's right to choose this jurisdiction and venue as described herein, regardless of your location or where you accessed the Site. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

12. Compliance with Laws

You are responsible for complying with the laws of the jurisdiction from which you are accessing this Site, and you agree that you will not access or use the information on this Site in violation of such laws. Access to the Site may not be legal by certain persons or in certain countries.

13. General Provisions

(a) Entire Agreement

These Terms and our Privacy Statement constitute the sole and entire agreement between you and TensorPros LLC regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

(b) Waiver

No waiver by TensorPros of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of TensorPros to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

(c) Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

(d) Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. TensorPros may assign or transfer its rights and obligations under these Terms without restriction.
